Terms of Service
Customer Control & Zero Data Exfiltration: Your AWS Account, Your Terms Teev is deployed entirely within your AWS account, giving you full control over deployment, data, and termination.

These Terms of Service ("Terms") govern your access to and use of the Teev software product ("Service") provided by Teev Ltd. ("Teev," "we," "us," or "our"). By deploying the Service within your Amazon Web Services (AWS) account, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. The Service and Customer Control
1.1 Service Description
The Service is a FinOps and GreenOps observability and governance solution deployed as an AWS-native application within the Customer's designated AWS account(s). It processes usage, cost, and performance telemetry from Amazon Bedrock Agents and Knowledge Bases (KBs) to provide cost attribution, carbon emissions analysis, performance insights, and forecasting.
1.2 Deployment Model
The Service is distributed exclusively via the AWS Serverless Application Repository (SAR) or as a CloudFormation/AWS SAM template. Deployment creates AWS resources (Lambda functions, DynamoDB tables, S3 buckets, IAM roles, etc.) entirely within your AWS account under your ownership and control.
1.3 Data Control and Zero Exfiltration
The Service operates fully inside the Customer's AWS environment:
- • Zero Data Exfiltration: Teev does not collect, transmit, or store any customer data, logs, or metadata outside of your AWS account. All telemetry processing occurs locally within your environment.
- • Customer Ownership: All data, reports, and logs generated by the Service are written to your own AWS resources (S3, DynamoDB, CloudWatch) under your IAM control. You retain full ownership of all derived analytics and insights.
- • Read-Only Access: The Service uses IAM roles granted by you to access AWS telemetry (e.g., CloudWatch Logs, Cost & Usage Reports) under a least-privilege model. You may review and approve these IAM permissions before deployment.
1.4 License Key Validation
To verify your active subscription, the Service periodically communicates your license key and deployment region to Teev's licensing endpoint. This validation call contains only:
- • Your unique license key
- • AWS region identifier
- • Deployment timestamp
No usage metrics, telemetry data, or customer information are transmitted during license validation. If license validation fails (e.g., due to subscription expiry or network restrictions), the Service will cease processing new data until a valid license is restored.
2. Customer Obligations
2.1 AWS Account Responsibility
The Customer is solely responsible for:
- • Maintaining the security and confidentiality of AWS accounts, credentials, and access keys.
- • Managing the lifecycle of AWS resources (e.g., Lambda, S3, DynamoDB) provisioned by the Service, including updates, scaling, and eventual decommissioning.
- • Ensuring IAM roles follow least-privilege principles and are revoked if the Service is decommissioned.
- • Monitoring AWS costs incurred by the Service's resource usage (Lambda invocations, DynamoDB storage, S3 storage, etc.).
2.2 Subscription and License Compliance
The Customer agrees to:
- • Maintain an active, paid subscription for the duration of Service use.
- • Use the Service solely within the number of AWS accounts and for the usage tier specified in your subscription plan.
- • Provide accurate billing and contact information for subscription management.
- • Not share, transfer, or sublicense your license key to unauthorized parties or AWS accounts.
2.3 Permitted Use
The Service is licensed solely for internal business use to monitor and optimize your own Amazon Bedrock deployments. You agree not to:
- • Sublicense, resell, distribute, or offer the Service as part of a managed service to third parties.
- • Reverse engineer, decompile, or attempt to extract the source code of the Service.
- • Use the Service for unlawful purposes or in violation of AWS Acceptable Use Policy or these Terms.
- • Deploy the Service in AWS accounts you do not own or control without explicit authorization.
2.4 Fees and Payment
- • Fees: Subscription fees are charged according to your selected service plan (Starter, Professional, or Enterprise) as listed on the Teev Pricing page or in your Enterprise Agreement.
- • Payment Terms: Fees are payable monthly or annually in advance, as specified in your subscription. Monthly subscriptions auto-renew unless cancelled at least 7 days before the renewal date.
- • Failure to Pay: Non-payment may result in suspension or termination of your license key, preventing the Service from processing new data. Outstanding fees remain due even after suspension.
- • Taxes: Fees are exclusive of all applicable taxes, duties, or levies. Customer is responsible for all taxes except those based on Teev's net income.
3. Licenses
3.1 License Grant by Teev
Subject to these Terms and payment of applicable fees, Teev grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to deploy and use the Service within your own AWS accounts for the duration of your active subscription.
This license permits you to:
- • Deploy the Service via AWS SAR, CloudFormation, or AWS SAM templates.
- • Access and use the Service's web interface, APIs, and reporting features.
- • Generate and export reports, dashboards, and analytics for internal business purposes.
3.2 License Grant to Teev (For Operation)
The Customer grants Teev a limited, non-exclusive, royalty-free license to access and process read-only AWS telemetry data (usage logs, cost data, Bedrock metadata, CloudWatch logs, and Cost & Usage Reports) strictly within the Customer's AWS account and solely for the purpose of providing Service functionality (e.g., cost attribution, carbon reporting, forecasting, anomaly detection). This license terminates automatically upon termination of your subscription or deletion of the Service from your AWS account.
3.3 Intellectual Property
All right, title, and interest in and to the Service, including all software, documentation, trademarks, and proprietary methodologies, remain the exclusive property of Teev. These Terms do not grant you any rights to Teev's intellectual property except as expressly stated.
4. Service Updates and Maintenance
4.1 Updates and Upgrades
Teev may release updates, patches, or new versions of the Service from time to time. Updates distributed via SAR or CloudFormation will require you to manually redeploy or update the stack in your AWS account.
You are responsible for applying updates. Teev is not liable for issues arising from running outdated versions of the Service.
4.2 Breaking Changes
Teev will use commercially reasonable efforts to provide advance notice (via email or the Teev dashboard) of any updates that introduce breaking changes or require manual intervention. However, you acknowledge that running infrastructure in your own AWS account means you control the update schedule and timing.
4.3 AWS Dependencies
The Service relies on AWS-managed services (Lambda, DynamoDB, S3, CloudWatch, etc.). Changes to AWS service APIs, deprecations, or regional availability may impact Service functionality. Teev will adapt the Service to AWS changes where feasible but is not liable for disruptions caused by AWS service modifications.
5. Termination
5.1 Termination by Customer
You may terminate your subscription at any time by:
- • Cancelling your subscription via the Teev customer portal or by contacting support@teev.ai, or
- • Deleting the deployed CloudFormation stack from your AWS account(s).
Notice Period: Monthly subscriptions may be cancelled at least 7 days before the next renewal date. Annual subscriptions and Enterprise contracts are governed by their respective terms and may require 30-90 days' written notice.
Refunds: Fees paid are non-refundable except as required by law or as specified in an Enterprise Agreement.
5.2 Termination by Teev
Teev may suspend or terminate your access to the Service, with or without notice, if you:
- • Breach these Terms or any applicable usage policies.
- • Fail to pay fees when due (after 15 days past due notice).
- • Misuse AWS resources, engage in fraudulent activity, or violate applicable laws.
- • Use the Service in a manner that harms Teev's reputation, infrastructure, or other customers.
5.3 Effect of Termination
Upon termination or expiration of your subscription:
- • Your license to use the Service ends immediately.
- • The Service will cease processing new data once license validation fails.
- • You are responsible for removing deployed resources from your AWS account(s) to avoid ongoing AWS charges (Lambda, DynamoDB, S3, etc.).
- • Teev has no obligation to retain, manage, export, or transfer any data remaining in your environment.
- • All fees owed through the termination date remain due and payable.
6. Warranties and Disclaimers
6.1 Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TEEV DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Teev does not warrant that the Service will be:
- • Error-free, uninterrupted, or fully secure.
- • Compatible with all AWS configurations, third-party tools, or future AWS service changes.
- • Accurate, complete, or suitable for any specific purpose.
The Service's performance depends on your underlying AWS infrastructure, IAM configurations, network policies, and data quality. Teev is not responsible for issues arising from misconfiguration, inadequate AWS resources, or restrictive network policies.
6.2 Accuracy of Data
While the Service reconciles results with AWS Cost & Usage Reports and CloudWatch logs using industry-standard methodologies, Teev is not responsible for:
- • The accuracy, completeness, or timeliness of AWS-provided telemetry.
- • Errors or omissions in AWS billing data, CloudWatch logs, or Bedrock usage metadata.
- • Any business decisions, financial commitments, or operational actions taken by the Customer based on Service outputs, forecasts, or recommendations.
Carbon emissions estimates are provided for informational and ESG reporting purposes and are based on publicly available carbon intensity data. Teev does not warrant the accuracy of third-party carbon datasets or methodologies.
7. Limitation of Liability
7.1 Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEEV, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY:
- • Indirect, incidental, special, consequential, or exemplary damages (including loss of profits, revenue, data, goodwill, or business interruption).
- • Damages arising from your inability to use the Service, even if Teev has been advised of the possibility of such damages.
- • Damages resulting from AWS service outages, deprecations, or changes.
- • Damages caused by third-party services, integrations, or data sources.
7.2 Limitation of Liability Cap
TEEV'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL FEES PAID BY THE CUSTOMER TO TEEV IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
7.3 Essential Purpose
You acknowledge that the disclaimers and limitations in this Section reflect a reasonable allocation of risk and are an essential basis of the bargain between you and Teev. The Service would not be provided without these limitations.
8. Indemnification
You agree to indemnify, defend, and hold harmless Teev, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
- • Your breach of these Terms or violation of applicable laws.
- • Your misuse of the Service or AWS resources.
- • Any dispute between you and a third party arising from your use of the Service.
- • Your failure to maintain adequate AWS account security or IAM controls.
9. General Provisions
9.1 Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
9.2 Modifications to Terms
We may modify these Terms from time to time. Material changes will be posted on the Teev website at least 30 days before taking effect and communicated via email to the address associated with your subscription. Continued use of the Service after the effective date of updated Terms constitutes acceptance. If you do not agree to the updated Terms, you must terminate your subscription before the effective date.
9.3 Assignment
You may not assign, transfer, or delegate these Terms or any rights or obligations hereunder without Teev's prior written consent. Any attempted assignment in violation of this section is void.
Teev may assign these Terms without restriction in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
9.4 Force Majeure
Teev shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, AWS service outages, internet disruptions, or government actions.
9.5 Severability
If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.
9.6 Waiver
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Teev's failure to enforce any right or provision shall not constitute a waiver of that right or provision.
9.7 Entire Agreement
These Terms, together with any applicable pricing plan, Enterprise Agreement, or Order Form, constitute the entire agreement between you and Teev concerning the Service and supersede all prior or contemporaneous agreements, representations, or understandings (whether written or oral).
9.8 Survival
Sections 2.1 (AWS Account Responsibility), 3.3 (Intellectual Property), 5.3 (Effect of Termination), 6 (Warranties and Disclaimers), 7 (Limitation of Liability), 8 (Indemnification), and 9 (General Provisions) shall survive termination of these Terms.
